Terms of Service

These terms are an agreement between [Hubtal legal entity name], [registration number], [registered address] (“Hubtal”, “we”) and the company that creates a Causaro account (“you”, “the customer”). The person who accepts them confirms they are authorised to bind the company.

Our Privacy Policy explains how we handle personal information and forms part of these terms. Where you use Causaro to process your employees’ data, we process it as your personal information processor under the Data Privacy Act of 2012; a data processing agreement is available on request and prevails over these terms for that processing.

Causaro computes payroll for employers in the Philippines: pay, premiums, withholding tax and SSS, PhilHealth and Pag-IBIG contributions, 13th month and final pay. It produces payslips, bank files and government forms and reports, and keeps attendance, leave and employee records.

You remain the employer. In particular:

• You approve every payroll run. Causaro computes from the information you and your people enter and the rules we maintain. Review each run before you approve it.
• You file and pay. Causaro prepares government reports and bank files. Submitting them to the BIR, SSS, PhilHealth and Pag-IBIG, remitting contributions and taxes, and paying your employees are your responsibility and happen outside Causaro.
• Your policies are yours. Where the law leaves a choice (for example premium rates above the minimum, or how a partial month is treated), Causaro applies the settings you choose.

Causaro is software, not legal, tax or accounting advice.

We keep Causaro’s statutory tables (withholding tax, contributions, minimum wages, holidays, premium rates) up to date with the law and agency issuances as published, and tell customers in the app when a rule changes. Where an agency changes a rule with little notice, or a rule is unclear, we apply it as soon as we reasonably can and say how we have read it.

If Causaro computes an amount wrongly because of an error in our software or our tables, we will correct it and help you recompute the affected runs at no charge. [Whether and to what extent Hubtal covers penalties or surcharges caused by its own calculation errors, and any cap].

• You decide who can use Causaro for your company and what each person can do (their role). You are responsible for what your users do in your account.
• Users sign in with one-time codes sent to their email. Keep access to those mailboxes secure, and remove people who leave.
• Information you give us about your company and users must be accurate and kept up to date.
• Employees you invite can see their own pay, leave and attendance. Before you invite them or enter their data, give them any notice the Data Privacy Act requires of you as their employer.

New companies get a free trial of [trial length, e.g. 30 days]. After that, fees are charged per employee paid in a month, with a monthly minimum, at the prices on our pricing page or in your order form, plus VAT where it applies.

We invoice monthly. Invoices are due within [payment term, e.g. 15 days]. If an invoice is still unpaid [grace period, e.g. 14 days] after it is due, or the trial ends without a paid plan, your account becomes read-only: you can see, download and export everything, but cannot approve new payroll runs until it is settled. We do not delete data because an invoice is late.

We may change prices with at least [notice period, e.g. 30 days] notice; the change applies from your next billing month.

• Your company’s data, including your employees’ data, belongs to you. You give us the right to process it only to provide, secure and support Causaro for you.
• You can download payslips, government reports and bank files at any time, and ask us for a full export.
• Our support team sees your data only when you grant access in Settings → Support access. Access is time-limited, recorded and can be revoked at any time.
• When your account closes, we keep your data for [export window, e.g. 30 days] so you can export it, then delete it as described in the Privacy Policy.

• Use Causaro only for your own company’s payroll and people, and only lawfully.
• Do not try to access another company’s data, break or probe the service’s security, overload it, or copy or resell it.
• Do not enter data you have no right to process.

Each side keeps the other’s confidential information confidential and uses it only for this agreement. We protect your data with the measures described in the Privacy Policy, keep each company’s data separate, and tell you without undue delay if a security incident affects it.

We work to keep Causaro available and to schedule maintenance outside payroll deadlines where we can, but do not promise uninterrupted service [or: state a service level and remedies]. We improve Causaro continuously; we will not remove a core function you rely on without reasonable notice.

You can close your account at any time; fees already due remain payable. We may suspend or close an account that breaches these terms, after notice and a chance to fix the breach where that is reasonable, or immediately if needed to protect the service or other customers. Sections that by their nature should survive (fees owed, data return, confidentiality, liability) survive.

Apart from what these terms say, Causaro is provided as it is, and we disclaim other warranties to the extent the law allows.

Neither side is liable for indirect or consequential loss, or loss of profit. Our total liability under this agreement is limited to [cap, e.g. the fees you paid in the 12 months before the claim]. Nothing limits liability that cannot be limited by law.

These terms are governed by [governing law, e.g. the laws of the Republic of the Philippines]. Disputes go to [venue, e.g. the courts of Makati City, or arbitration], after both sides have tried in good faith to settle them.

We may update these terms. We will tell you by email or in the app at least [notice period, e.g. 30 days] before a material change takes effect. Continuing to use Causaro after that means you accept the change; if you do not, you can close your account.
